He had script approval on the movie, and used a rewrite on the screenplay as a loophole to get out of his contract. There were a lot of people who had been working on the "Footloose" project since last July, and they were all very shocked when they got the news. Even though Zac is out of "Footloose", Paramount still wants to go ahead with the film because they 've wanted to see a remake of this film for a long time, and feel confident that their people, Kenny Ortega, Neil Meron and Craig Zaden can make it work. I'm not sure who'll they'll get to replace Zac Efron,but I do think he would have been the main attraction to the film.
